Terms & Conditions
1. Introduction
These Terms and Conditions ("Terms") govern your use of the BoatSched platform ("Service"), operated by BoatSched ("we", "our", "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service. These Terms are governed by and construed in accordance with the laws of England and Wales.
2. Definitions
- "Club" means a rowing club or organisation registered on the Service.
- "User" means any individual who creates an account or uses the Service.
- "Administrator" means a User with administrative privileges for a Club.
- "Member" means a User who belongs to a Club.
- "Subscription" means the paid plan under which a Club accesses the Service.
3. Eligibility
You must be at least 16 years of age to use the Service. By creating an account, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.
4. Account Registration
To use the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
5. Subscriptions and Payment
- The Service is offered on a subscription basis with a 30-day free trial period.
- Subscription fees are billed monthly in advance in British Pounds (GBP).
- Prices are exclusive of VAT, which will be added where applicable in accordance with UK tax law.
- We reserve the right to change subscription prices with at least 30 days' written notice.
- Failure to pay may result in suspension or termination of your Club's access to the Service.
6. Free Trial
New Clubs are entitled to a 30-day free trial. No payment details are required during the trial. At the end of the trial, a paid subscription must be activated to continue using the Service. We reserve the right to modify or withdraw the free trial offer at any time.
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to any part of the Service or its systems.
- Interfere with or disrupt the integrity or performance of the Service.
- Upload or transmit any viruses, malware, or harmful code.
- Use the Service to harass, abuse, or harm other Users.
- Reproduce, duplicate, copy, sell, or exploit any portion of the Service without express permission.
8. Intellectual Property
All intellectual property rights in the Service, including but not limited to software, design, logos, and content, are owned by BoatSched or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your subscription period. You retain ownership of any data you input into the Service.
9. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in accordance with the UK GDPR and the Data Protection Act 2018.
10. Cancellation and Termination
- You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing period.
- We may suspend or terminate your account if you breach these Terms, with or without notice.
- Upon termination, your right to use the Service ceases immediately. We will retain your data for a reasonable period to allow you to export it, after which it will be securely deleted.
11. Limitation of Liability
To the fullest extent permitted by law, BoatSched shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service. Our total liability shall not exceed the amount paid by your Club in the 12 months preceding the claim. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under English law.
12. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.
13. Indemnification
You agree to indemnify and hold harmless BoatSched, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service or your breach of these Terms.
14. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email or through the Service with at least 30 days' notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
15. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales. If you are a consumer, you may also have rights under the Consumer Rights Act 2015.
16. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
